The list of entities covered by paragraph 1 was shortened, replacing the detailed named directives and their dates (covering credit institutions, investment firms, insurance and reinsurance undertakings, UCITS, occupational retirement institutions, and alternative investment funds) with a plain list of entity types including management companies, investment companies, alternative investment fund managers and central counterparties, and the reference to 'Community' was changed to 'Union' throughout.
The prospectus reference in paragraph 1 dropped its citation to Directive 2003/71/EC and Regulation (EC) No 809/2004, now referring simply to a prospectus containing a credit rating reference.

The list of entities in paragraph 1 now specifies that alternative investment funds are those as defined in Directive 2011/61/EU of the European Parliament and of the Council of 8 June 2011 on Alternative Investment Fund Managers, with a citation to its Official Journal publication, whereas the earlier text referred to alternative investment funds without such a defining reference.
The phrase describing the scope of the First Council Directive 73/239/EEC was also reworded from referring to the 'taking-up' of the business of direct insurance to the 'take-up' of that business.

Paragraph 1 now refers to UCITS by citing Directive 2009/65/EC instead of Directive 85/611/EEC, and adds alternative investment funds to the list of entities that may use credit ratings for regulatory purposes only if issued by a registered credit rating agency established in the Union.
In paragraph 3, points (b), (c), (d) and (h), including its sub-points (i) and (ii), replace references to the competent authority of the home Member State (and, for point (c), the college of competent authorities) with references to ESMA and its cooperation arrangements with third-country supervisory authorities.
